TERMS & CONDITIONS
The following shall constitute a binding agreement between you and INZU (trading as INZU) ('INZU') for your use of the services provided on INZU ('the Site'). This agreement together with any amendments, additional terms and rules and policies constitute the agreement between you and INZU ('the Agreement'). The "seller" is the person or company who has created an account to sell file through INZU's web site inzu.net and inzu.net.
1. The Service
INZU provides a platform for the selling of computer generated files and mail order goods.
It also provides a platform for the purchasing of computer files made available by users
of INZU. These terms and conditions may be amended at any time by INZU.
Any amendments will be posted on the INZU web site. You should review the Terms
& Conditions regularly to ensure you are aware of any such changes. Your continued
use of this site will constitute acceptance of the Agreement including any modifications
and amendments which have been posted online.
To sell on INZU you must have an account, accounts incur a yearly fee starting at £4.99.
You will be entitled to 90% of your sales if you are selling digital downloads and 93.5% of your sales for mail order items. You may use one account for both types of sales.
Users selling recorded music must have the appropriate incenses in place.
INZU account holders will enjoy a 5% reduction on digital purchases from other INZU account holders if they use the INZU "trade" option on checkout. This option requires sufficient funds in the users account to make the purchase.
To register as an INZU seller you must be at least 18 years of age.
Buyers of digital downloads are allowed 2 hours to download their file, INZU is not responsible should you lose your internet connection in this time or you do not have the adequate speed of connection to complete the download. INZU is also not responsible if the contents of the file you purchased is not what you expected it to be or is in a format you cannot use, in these circumstances you should contact the seller of the item for a refund. You must not close your download window until your download is complete or the download will be lost.
2. Limitations of Usage & Copyright
All of INZU's Materials contained on the Site are the property of INZU and are protected by law. By submitting an item for sale on INZU the seller retains full copyright control over their material. No copyrights are attained by INZU through the distribution of the seller's material.
If you believe a seller is deliberately selling files or goods that are not in line with the description presented or are obviously copyrighted by another person or contains illegal material, you should contact INZU immediately at support@inzu.net for the instant removal of their service.
For the purchase of physical goods it is the INZU account holder's full and total responsibility to supply the customer with the goods paid for by the customer using the INZU mail order system. Any delay, partial or permanent in the supply of hard goods or the supply of goods differing from those advertised is the responsibility of the INZU account holder. The account holder should be contacted directly if there are any problems with the order.
If a customer has serious unresolvable problems with a supplier they should contact support@inzu.net upon which INZU will review the seller’s account with a view to termination of their account.
As an INZU seller you must not knowingly accept transactions from stolen or fake credit cards. Transactions that have been made with stolen or fake credit cards will be refunded
to the card holder and you will not be entitled to any money from those transactions.
If INZU suspects users are selling items for unusually large sums of money repayments may be suspended for up to 60 days while a full investigation is launched. If any type of fraud is suspected by INZU all the relevant user’s submitted details shall be handed to the authorities.
3. System Requirements for Usage
Use of the service requires a computer, broadband internet access and a web browser. INZU is not responsible for providing any of this equipment, software or services that allow INZU to be run on a computer.
Users of the INZU mail order service must supply full and legitimate contact details as requested at the point of purchase. Failure to provide adequate details may result in an order not being able to be delivered. In the event of incorrect or incomplete details being submitted the customer should contact the seller directly quoting their purchase details and transaction code supplied by INZU. INZU is not responsible for any refunds should a problem due to incorrect submitted information arise.
4. Registration and Security
To use the services provided by INZU you must be a registered user of INZU.
To register you must provide certain information including a user name, password and valid email address. INZU will use this information in accordance with its privacy policy set out at clause 10 below. As a registered user of the Service you will set up an account through which you may make purchases and use the other services provided by the Site ('Your Account'). You shall not reveal the personal information of Your Account to any third party and will take all reasonable steps to ensure the security of your password, name, email address and other submitted information. INZU will not be held responsible for any losses incurred due to unauthorized use of Your Account by any third party. To ensure that copyrighted material that you do not have rights to sell is not sold by you, INZU shall keep
a record of all registered users’ IP addresses.
Should INZU suspect any users of fraud their registered details including IP address will be submitted to the relevant authorities.
5. Charges and Billing
You agree to pay for all the Materials that you purchase through INZU and you agree that INZU may charge your credit/debit card for such payment. You agree that any purchase requests you make will constitute your intent and agreement to be bound by the Agreement and to pay for such purchase. The prices quoted on the Site are subject to change from time to time and are inclusive of all United Kingdom applicable taxes, including sales taxes.
As a registered seller of file downloads you will be charged a yearly fee according to the amount of storage capacity that you have elected to use. Your yearly charge will be debited from the credit/debit card used to register. You will receive a 30 day notice to renew your subscription if your card has expired. If you card has expired your account and all benefits and services derived from being a registered seller will be terminated.

A minimum charge of 25p must be set by the seller for all file downloads. A minimum charge of 2p per 1MB is also applicable to all downloads.
A minimum charge of £1.00 is applicable to all transactions. Transactions of less than £1.00 will be charged as a £1.00 transaction. A 15p surcharge is applicable to all transactions under £4.00 by customers using debit and switch/solo cards.
All charges are made in pounds sterling, prices shown in dollars are for display purposes only. Charges diaplyed in dollars are based at the current exchange rate.
6. Repayment
As a seller you can opt to be paid by cheque, Paypal or by bank transfer. A £20 charge
is levied for each bank transfer and a £5 charge for each cheque. There is a normal 3.5% charge for Paypal transfers. You must supply all the relevant information asked for to receive these funds. You will receive the percentage of your sales total based on the standard percentage at the time of fully registering with INZU (currently 90%) from the
point of your last payment to the time at which you request a new payment. A minimum payout of £50 is required for any repayment to be made. Licensed music incurs an 8%
fee per song which INZU pays to the Performing Rights Society (PRS).
Sales from mail orders (not digital downloads) incur a 6.5% fee per transaction.
If an INZU account holder buys a digital item from you using the INZU "trade" option, you will receive 90% of the item cost.
Changing the price of a file does not affect the sales totals accumulated up to that point. You will only be paid the value of a file at the time of purchase; the sales figures in your admin area will reflect that.
You are not entitled to interest on any repayments.
Providing incorrect information for a transfer may result in the transfer amount being lost permanently. INZU is not responsible for reimbursing monies on such occasions.
7. Termination
INZU may in its absolute discretion and without notice to you terminate this agreement
or suspend Your Account if at any time INZU (in its reasonable opinion) believes that you have breached the provisions of the Agreement and you will remain liable for any payments owing on Your Account up until and including the date of termination of the Agreement.
Termination will also occur if you are reported to be selling copyrighted material that is not your own or a software or scripts which can execute a malicious computer attack e.g. virus, worm or trojan. In such cases all details about you will be handed over to the relevant authorities.
Should INZU cease to trade as a business, all outstanding sales will be paid to customers
by cheque only, INZU shall not be responsible for the repayment of existing yearly account fees. Any digital files stored on INZU will be non-recoverable and it is the sellers responsibility to back up their digital files.
8. Indemnity and Waiver
By using this service you agree to indemnify and hold harmless INZU and its agents, representatives, employees, Licensors, content and technology providers, and any parent or subsidiary company from any and all losses, claims, demands, causes of actions and judgments (including legal fees on an indemnity basis and court costs) which arise out of your breach of the Agreement or use of the Service.
You shall not sue or seek to recover any damages or other payment from INZU and its agents, representative, employees, Licensors, content and technology providers, and any parent or subsidiary company as a result of its decision to terminate or suspend the Agreement and service hereunder.
9. Disclaimer
By agreeing to the terms of the Agreement you accept that your use of the Site and the services contained therein is at your own risk. The Site, Tracks and Materials are provided 'as is' and 'as available' and without warranties of any kind either express or implied. This shall include (but not be limited to) all implied warranties of fitness for purpose or merchantability to the extent permitted by law.
INZU shall use its reasonable efforts to protect the information submitted by you but you hereby acknowledge and accept that your submission of such information is at your own risk and no liability shall attach to INZU for any loss or liability to you relating to such information.
Whilst INZU will make all reasonable efforts to ensure an interrupted service INZU does not make any guarantee represent or warrant that your use of the Site will be uninterrupted and without error and you recognise that INZU may temporarily suspend the service from time to time without notice to you in order to undertake essential Site maintenance.
Whilst INZU will make all reasonable efforts to ensure that the Site will be free from viruses, corruption or loss or other security breaches, INZU makes no warranties in this regard and shall not be liable for any loss relating thereto.
In the event that files stored with INZU and accounts relating to sales records may be lost due critical server failure, fire damage, natural disasters, acts of terrorism or liquidation of third party suppliers INZU is not responsible for the return or access to the lost information.
10. Privacy Policy
You may be asked to submit personal information about yourself in order to use the services on the Site. By entering your details on the Site you hereby authorise INZU and its service and content providers to provide you with the services you have selected. All of the information you provide is essential to provide the service you have requested from INZU.
When you enter the Site your computer will automatically be issued with a 'Cookie'. Cookies are used by many web sites in order to track traffic to their sites. Cookies are text files that identify your computer to our Server and will only record those areas of the Site that you have visited. You can set your computer so that it will not accept Cookies.
INZU will take all reasonable measures to protect the loss, misuse and alteration of the information under INZU's control and to ensure that the Site has complied with the provisions of the Data Protection Act 1998 or any other relevant United Kingdom legislation relating to the handling of personal information. If any of the information that you have provided to us changes you must notify us by editing your billing information in Your Account.
You have the right to request a copy of the personal information that INZU holds about you as a result of your use of the Site. A fee of £10.00 is payable for each such request.

The Site contains links to third party web sites. INZU is not responsible for the practices
or privacy policy of such third party web sites and your use of those third party sites is at your own risk and you should consult the relevant terms and conditions of those sites for further information.
11. No Partnership
Nothing herein shall be deemed to constitute a partnership, agency or joint venture between You and Us.
12. Entire Agreement
This Agreement sets forth the entire agreement between the parties hereto with respect
to the subject matter here of and any amendment or variation hereto must be in writing
and signed by both parties.
13. Law
This Agreement shall be interpreted in accordance with the laws of England and the High Court of Justice in England shall be the exclusive court of jurisdiction.
